1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of Project Z (“the Service”), available at projectz-ai.com, operated by Project Z (“we”, “us”). By creating an account, signing in through Google or Microsoft, or using any part of the Service, you agree to be bound by these Terms and by our Privacy Policy.

If you use the Service on behalf of an organisation, you represent that you are authorised to accept these Terms on its behalf.

2. The Service

Project Z is an AI workspace offering conversational AI (Z-Flash, Z-Vision, Z-Pro models), image understanding and generation, document editing (Z-Canvas), voice interaction, custom personas, knowledge vaults and related productivity features. Features and daily limits depend on your plan: Free, Z-Vision or Z-Pro.

We continuously improve the Service and may add, change or remove features. If a change materially reduces a paid feature, we will notify you in advance where reasonably possible.

3. Accounts & Eligibility

• You must sign in through a supported third-party identity provider (Google or Microsoft) and provide accurate information.
• You must be at least 16 years old (or the minimum digital-consent age in your country) to use the Service.
• You are responsible for safeguarding access to your identity-provider account and for all activity under your Project Z account.
• One person or entity per account; account sharing to circumvent plan limits is not permitted.

4. Acceptable Use & Permitted Use of AI

You agree to use the Service only for lawful purposes. You must not:

• Generate, upload or distribute content that is illegal, harmful, harassing, defamatory, sexually explicit involving minors, or that infringes the rights of others.
• Use the AI features to create malware, conduct attacks, generate spam or phishing content, or facilitate fraud or deception, including impersonating real people without consent.
• Attempt to reverse-engineer the models, extract model weights, or bypass plan limits, rate limits or security controls.
• Scrape, resell, or provide unauthorised third-party access to the Service or its outputs as a competing product.
• Interfere with the Service’s infrastructure, including automated abuse of the API or excessive load beyond normal interactive use.
• We may impose technical limits (daily quotas per plan) and may suspend accounts that systematically circumvent them.

5. User Responsibilities & AI Output

AI-generated content may be inaccurate, incomplete or outdated. You are solely responsible for reviewing, verifying and deciding how to use any output before relying on it, particularly for legal, medical, financial, safety-critical or professional purposes.

You retain responsibility for the content you upload: you confirm you have the necessary rights to submit files, images and prompts, and you must not upload confidential third-party data without permission. You are responsible for keeping your own copies of important content; the Service is not a backup provider.

6. Plans, Payments & Billing

• The Free plan provides limited daily use. Paid plans (Z-Vision and Z-Pro) are offered at the prices displayed at checkout, inclusive of applicable taxes such as VAT.
• Payments are processed by Stripe. We do not store your card details; Stripe handles payment data under its own terms.
• Subscriptions renew automatically at the end of each billing period (monthly or yearly) until cancelled. Yearly plans are billed once per year.
• You can change plans at any time; plan changes are settled pro-rata. You can manage or cancel your subscription through the billing portal linked in the app.
• Cancellation stops future charges; you keep access until the end of the paid period. Refunds are handled case by case in accordance with applicable consumer-protection law.
• Prices may change with at least 30 days’ notice before the next renewal; changes never affect the current billing period already paid.

7. Intellectual Property

The Service, including its design, brand and software, is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive licence to use the Service for its intended purpose.

You retain ownership of the content you submit. Where and to the extent permitted by applicable law, you own the outputs generated for you, subject to third-party rights and to the AI providers’ terms; we claim no ownership over your prompts or outputs. Some jurisdictions do not grant copyright to purely machine-generated content.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate or reliable.

9. Limitation of Liability

To the maximum extent permitted by law, Project Z and its suppliers shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from your use of the Service. Our total aggregate liability for any claim shall not exceed the amount you paid us in the twelve months preceding the claim.

Nothing in these Terms limits liability that cannot be limited by law, including liability for gross negligence, wilful misconduct, death or personal injury.

10. Suspension & Termination

• We may suspend or terminate your account, with or without prior notice, if you breach these Terms, use the Service unlawfully, abuse the AI features, evade plan limits, or fail to pay amounts due.
• You may stop using the Service and delete your account at any time.
• On termination for breach, your right to use the Service ends immediately; sections that by their nature should survive (intellectual property, disclaimers, liability, payments due) remain in effect.
• If we suspend your account for suspected abuse, you may contact us to appeal; we will review the decision promptly.

11. Changes to These Terms

We may revise these Terms. The current version is always available on this page. Material changes will be communicated in advance (via the app or email); continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of Romania, without prejudice to mandatory consumer-protection rights in your country of residence. Consumers in the EU may also rely on the protections of their local law and bring claims in their country of residence.
